Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you" or "User") and 47 Signals LLC, a Wyoming limited liability company doing business as Smart Miles ("Smart Miles," "we," "us," or "our"). They govern your access to and use of the Smart Miles mobile application, web dashboard, and related services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and capable of forming a binding contract to use the Service. By using Smart Miles, you represent that you meet these requirements. If you are using the Service on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.
2. Account Registration
To use the Service you must create an account using a valid email address or a supported third-party sign-in provider (e.g., Google). You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Notifying us promptly at support@smartmiles.app if you suspect unauthorized access.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
3. Description of the Service
Smart Miles provides automatic mileage and trip tracking, trip classification, vehicle management, and report generation tools designed to help users log drives for tax deduction, reimbursement, or personal record-keeping purposes. The Service includes:
- A mobile application (iOS and Android) that records trips using device location services.
- A web-based dashboard for reviewing and managing trip data.
- Export tools for generating mileage logs and reports suitable for tax reporting.
4. Location Data & Device Permissions
The core functionality of Smart Miles depends on collecting location data from your device, including while the app runs in the background. By enabling trip tracking, you consent to this collection as described in our Privacy Policy.
You may revoke location permissions at any time through your device settings, but doing so will prevent the Service from automatically detecting and recording trips.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Fabricate, falsify, or inflate mileage data for fraudulent tax deductions, insurance claims, or reimbursement requests.
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
- Interfere with or disrupt the Service's infrastructure, including by transmitting malware, spam, or excessive automated requests.
- Access or attempt to access another user's account or data without authorization.
- Resell, sublicense, or redistribute the Service or any data obtained through it without our prior written consent.
- Use automated scripts, bots, or scrapers to access the Service except through our published APIs.
6. Intellectual Property
The Service — including its design, code, graphics, logos, and documentation — is owned by Smart Miles and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership interest in the Service.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes, subject to these Terms.
7. Your Data
You retain ownership of any data you submit to the Service, including trip records, notes, vehicle information, and location data ("User Data"). By using the Service, you grant us a limited license to process, store, and transmit your User Data solely as necessary to provide and improve the Service.
You may export or delete your User Data at any time through the Service. If you delete your account, we will delete your User Data in accordance with our Privacy Policy.
8. Pricing & Payments
Smart Miles is currently offered free of charge. If we introduce paid features or subscription plans in the future, we will provide you with clear notice and pricing before any charges apply. You will not be billed without your explicit consent.
9. Disclaimer of Tax & Legal Advice
Smart Miles is a record-keeping tool, not a tax advisor. While the Service is designed to generate mileage logs consistent with IRS requirements, we do not guarantee that any report or export will satisfy your specific tax obligations. You are solely responsible for:
- Verifying the accuracy of your trip records.
- Determining whether a trip qualifies as a business deduction under applicable tax law.
- Consulting a qualified tax professional for advice on your specific situation.
We are not responsible for any tax penalties, denied deductions, audit outcomes, fines, or other liabilities arising from your use of the Service or from any tax filings, deductions, or reimbursement claims you make based on data generated by the Service. You bear sole responsibility for the accuracy and legitimacy of any mileage records you submit to the IRS, your employer, or any other party.
10. Accuracy & Limitations
Trip detection, distance calculations, and route recording depend on GPS signals, device sensors, third-party mapping services, and activity-recognition signals provided by your device's operating system (such as motion and automotive detection). These technologies have inherent limitations. In particular, some devices and operating system versions may restrict background location access, delay activity detection, or aggressively suspend background processes in ways that prevent the Service from detecting or fully recording trips. We do not control these device-level or OS-level behaviors and cannot guarantee consistent performance across all hardware and software configurations.
We do not guarantee that:
- Every trip will be automatically detected.
- Recorded distances or routes will be perfectly accurate.
- Background tracking will function correctly on all devices, operating systems, or OS versions.
- The Service will function without interruption or error.
You should review your trip records periodically and correct any inaccuracies using the editing tools provided. You may also add trips manually if automatic detection did not capture a drive.
11. Third-Party Services
The Service integrates with third-party providers for mapping, geocoding, authentication, and other functionality (e.g., Mapbox, Google, HERE). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Smart Miles and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, data, or business opportunity.
- Denied tax deductions or penalties resulting from inaccurate records.
- Costs of procuring substitute services.
- Any matter beyond our reasonable control.
In no event shall our total aggregate liability exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) fifty US dollars ($50.00).
14. Indemnification
You agree to indemnify, defend, and hold harmless Smart Miles and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or third-party rights.
- Any tax filings, deductions, or claims you make based on data from the Service.
15. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without cause, and with or without notice. Upon termination:
- Your license to use the Service immediately ends.
- We may delete your User Data after a reasonable retention period, as described in our Privacy Policy.
- Sections that by their nature should survive termination will survive, including Sections 6, 7, 9, 12, 13, 14, and 17.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service.
17. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Service shall be resolved as follows:
- Informal Resolution. Before filing any formal proceeding, you agree to contact us at support@smartmiles.app and attempt to resolve the dispute informally for at least 30 days.
- Binding Arbitration. If informal resolution fails, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Cheyenne, Wyoming, or remotely at your election. Each party will bear its own costs, except as otherwise required by the AAA rules.
- Class Action Waiver. You and Smart Miles agree that disputes will be resolved on an individual basis only. Neither party may participate in a class action, class arbitration, or other representative proceeding.
- Exceptions. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights.
18. General Provisions
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Smart Miles regarding the Service.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
- Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment. You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
- Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, internet outages, or government actions.
